1. Title
The name of the Club shall be "Christian Rock and Mountain
Club", and is referred to below as "the Club". The name
of the Club may be abbreviated to "CRMC".
2. Aims
The aims of the Club shall be:
(a) To
foster Christian fellowship between Club members.
(b) To organise
opportunities for safe enjoyment of climbing, mountaineering
and hillwalking with Christian fellowship.
(c) To encourage
members to acquire the technical skills necessary for participation
in and leadership of climbing, mountaineering and/or hillwalking.
(d) To promote
the knowledge and love of God the Father, Son and Holy Spirit.
(e) To promote
good relations between the Club and other Christian Outdoor
Activity Clubs and Centres.
(f) To encourage
conservation of and provision of access to the cliff and
mountain environment.
(g) To afford
members such benefits and privileges as it may be possible
to arrange.
3. Eligibility for Membership and
Subscriptions:
Full Membership of the Club is open to all professing Christians
aged 18 and over who have an interest in climbing, mountaineering
and hillwalking and who have signed their agreement with
the Aims of the Club and the following declaration of faith:
"I believe that the Bible is God's word, true and reliable,
and relevant for today, and as such gives us the basis for
our beliefs. I believe:
1)
In the Trinity: God the Father, God the Son and God the
Holy Spirit
2) In the
virgin birth of Jesus Christ
3) That Jesus
is the Son of God
4) That Jesus
died on the cross in place of sinful man and that the only
way to God is through faith in what Jesus did on the cross
5) In the
bodily resurrection of Jesus, his ascension to heaven and
his future return."
Associate Membership of the Club is available
at the discretion of the Committee to individuals aged 18
and over who have an interest in climbing, mountaineering
or hillwalking, who understand and accept the Christian
nature of the Club and are in sympathy with the Aims of
the Club. Applications and renewals for Associate Membership
must be supported by the Committee. The Committee may decline
any application for Associate Membership without having
to give reason. Associate Members are referred to below
as "associates".
Child Membership will be available to
the children of full or associate members at the discretion
of the Committee. In exceptional circumstances the children
of non members may be allowed child membership, in which
case the children must be sponsored by one or more club
members who will take on the responsibilities that the club
would normally expect parents to assume. The procedures
which should be followed in the case of children are listed
in the club policies. Child members are referred to as “children.”
The total number of members, children
and associates shall be unlimited. New applications for
Associate Membership may be considered only if their acceptance
will not cause the total number of associates to exceed
one tenth of the total number of members recorded in the
Club register on the 31 October preceeding receipt of the
application.
The annual subscription payable by members,
children and associates of the Club will be determined by
the Committee. The subscription shall be payable on joining
and renewable on 1 January each year. Any member, child
or associate wishing to resign from the Club should notify
the Committee member responsible for the Membership register
in writing before the subscription becomes due for renewal.
The Committee shall remove from the list of members, associates
and children any person whose subscription is more than
three months in arrears.
The Committee shall have the power, after
due enquiry, to suspend the benefits of Membership, to expel
from Membership or to refuse renewal of Membership to any
member, child or associate whose conduct in any respect
renders it desirable that such a step be taken.
The submission of an application to join
the Club as a member, child or associate shall be made on
the understanding that all the personal information supplied
may be stored on computer and will be distributed in confidence
only to individuals and organisations that have been approved
by the Committee and solely for the purposes of the business
of the Club. Any application for Full or Associate Membership
is accepted on the understanding that members, associates,
guests and visitors appreciate that climbing, mountaineering
and hillwalking are all potentially hazardous activities
and accept that they attend any Club events at their own
risk.
4. Committee
The organisation of the Club and the upholding of the Constitution
shall be the responsibility of the Committee, which shall
consist of the Chairman and a minimum of three and a maximum
of six other members. All members of the Committee shall
be Full members of the Club. A quorum shall be formed by
three members of the Committee, or by four members if the
Committee consists of seven people. The Committee shall
have the power to appoint sub-Committees to deal with such
matters as the Committee may deem necessary. In the event
of any vacancies occurring, by resignation or otherwise,
the Committee shall have the power to make a temporary appointment
to the Committee from within the Membership of the Club
until the next Annual General Meeting.
The Committee shall have the power to
reassign roles of Committee members if necessary. With the
exception of the Chairman, a Committee member may act in
more than one capacity but will only be eligible to occupy
one Committee post and to register one vote per motion in
Committee Meetings of the Club. The Chairman shall have
the casting vote in any motion which remains unresolved.
Nomination of Committee members
Candidates for election to the Committee shall be members
of the Club. They must be nominated by two members of the
Club. No member may nominate more than one candidate to
the Committee. The closing date for nominations shall be
stated on the notification of the Annual General Meeting.
Election of Committee members
The Committee shall be elected at the Annual General Meeting.
A minimum of two committee members shall stand down at each
AGM. Subject to this requirement, each committee post shall
be for a term of two years after which the serving member
shall stand down but may be re-elected. Where necessary,
the committee shall determine which committee members stand
down. The retiring Committee shall decide upon the number
of Committee members to be elected and their duties, and
will define these posts at the notification of election.
No member may stand for more than one Committee post. If
there is more than one candidate nominated for a post, a
secret ballot will be held of all members present at the
Annual General Meeting. The election will be by a simple
vote. Two scrutineers shall be appointed by the Chairman
to oversee the election.
5. Meetings
The Annual General Meeting of the members of the Club shall
be held between 1st March and 30th June each year at a date
and location notified to all members at least three months
in advance. The Chairman and other Committee members will
present reports of the activities of the Club and audited
accounts of the previous calendar year.
Any member wishing to include any matter
on the itemised Agenda of the Annual General Meeting shall
notify the Chairman in writing at least two months in advance
of the Meeting. Any member wishing to include any matter
under "Any Other Business" shall notify the Chairman
not later than 9.00 am on the day of the Annual General
Meeting. Associates are entitled to attend and participate
in the Annual General Meeting, but may not vote in any Club
ballots or elections.
An Extraordinary General Meeting may
be convened by direction of the Committee or by the receipt
by the Chairman of a request signed by not less than 10%
(rounded up) of the full members of the club. At least two
months' notice shall be given to all members, children and
associates of the date, location and purpose of the meeting.
6. General
Members, children and associates shall abide by the Constitution
of the Club and in all cases of dispute or disagreement
shall accept the decision of the Committee as final. The
Committee shall have the power to set Club rules and shall
decide any question of the interpretation of the Constitution,
or anything related to the Club not provided for herein,
and may take whatever action it deems necessary which is
not inconsistent with the Constitution.
Alterations to the Constitution shall
be proposed and discussed at the Annual General Meeting,
either by the direction of the Committee, or upon the receipt
by the Chairman of a request signed by not less than 10%
(rounded up) of the full members of the club. If the proposals
and any agreed amendments are passed by a simple majority,
a postal ballot of all members will be arranged where a
two-thirds majority of votes cast will be required for the
alterations to be effected.
7. Dissolution
The Club may be dissolved by a Special General Meeting convened
by direction from the Committee or by the requisition of
the majority of members. If a resolution of dissolution
be carried, the Committee will liquidate forthwith the affairs
of the Club. If there be any surplus assets of realisation
these will be disposed of to one or more Christian Charities
according to the direction of the Committee. Should the
assets of the Club be insufficient to meet any debts, the
members of the Club will be severally liable for payment
of such debts.
